MISCELLANEOUS

Unless otherwise specified, this Nevo Site and the Contents thereof are displayed solely for the purpose of promoting UEI's products and services. This Nevo Site is controlled and operated by UEI from its offices in Cypress, California.

This Agreement and any operating rules established by UEI constitute the entire agreement of the parties with respect to the subject matter hereof. This Agreement shall be construed in accordance with the laws of the State of California, without regard to any conflict of law provisions. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions of this Agreement shall remain in effect. Any dispute arising under this Agreement shall be resolved exclusively by the state and federal courts of the State of California and You hereby submit the jurisdiction of said courts. The section headings used herein are for convenience only and shall not be given any legal import.
